Mr. Bennani manages the investment banking department's day-to-day operations. He has
worked on numerous financing and M&A advisory transactions totaling more than $2
billion. Mr. Bennani joined Kaufman Bros. in 1995 from Barington Capital, L.P.'s
investment banking department. His responsibilities ranged from public and private
financing transactions to general financial advisory for mergers and acquisition,
restructuring, acquisition financing and recapitalization. His primary industry focus was
technology. Mr. Bennani received a MBA in international finance from New York University's
Stern School of Business. He also received his Masters in computer science as well as a BS
in mathematics and physics from the University of Pierre and Marie Curie in Paris.

Mr. Bingham is responsible for the department's efforts in the software industry. Mr.
Bingham joined Kaufman Bros. in 2000 from ING Barings in New York, where he was a director
in the mergers and acquisitions group. At ING Barings, he was responsible for structuring
and executing corporate advisory transactions. Prior to joining ING Barings, Mr. Bingham
was a Vice President at Nomura Securities International in New York, where he was a senior
member of several product areas. As a member of the high-yield department, he was
responsible for structuring and executing high-yield debt and proprietary bridge loans. As
a member of the Corporate Finance Department, he was responsible for structuring and
executing a public and private equity offerings. As a member of the mergers and
acquisitions Department, he was responsible for structuring and executing M&A and
advisory assignments for US listed companies. Mr. Bingham holds an MBA from Northeastern
University in Boston and a BA from Columbia University in New York.

Before joining
Kaufman Bros., Mr. Rutter served as Executive Vice President and
Co-Founder of Square 1 Bank, a de novo commercial bank formed in
2005 and focused on emerging growth technology companies. Prior to
Square 1, he worked in venture capital and fund-of-funds investment
management,
serving as President of Comerica Ventures and Comerica Capital
Advisors and as President of Imperial Ventures and Imperial
Creditcorp. Mr. Rutter also co-founded and served as Senior Vice
President of the Special Markets Group/Emerging Growth Division at
Imperial Bank in Silicon Valley, a venture-banking practice
providing secured credit facilities, bridge loans, and acquisition
financing to venture capital-backed technology companies. Mr. Rutter
was also active in financing technology startups while working as an
Assistant Vice President in the Technology Group at Silicon Valley
Bank. Mr. Rutter received his A.B. in International Relations from
Stanford University in Palo Alto, CA and an M.S.F.S. in Foreign
Service (International Trade & Finance) from the Edmund A. Walsh
School of Foreign Service at Georgetown University in Washington,
D.C.

Prior to joining Kaufman Bros., Mr. Colley was an associate in Gilford Securities'
corporate finance department. While at Gilford Securities, Mr. Colley was responsible for
the evaluation, structuring and execution of both public and private transactions in the
technology arena. Mr. Colley was also involved with Gilford Securities' merger and
acquisition advisory business. Prior to joining Gilford Securities, Mr. Colley was an
analyst in the merchant banking group at MBF Capital Corp., where he worked on principal
investment transactions and provided advisory services to the technology and
communications industries. Mr. Colley received his B.B.A. degree with a concentration in
finance from the University of San Diego School of Business.

Mr. Johannesen became a securities analyst in 1996 for Bodri Capital Management, a $600
million hedge fund in Palo Alto, CA before joining Pacific Heights Capital Management in
San Francisco in 1998. Soon after, Mr. Johannesen became a writer and editor
focusing on technology for sectorbase.com, a financial portal and research tool aimed at
institutional investors. He then joined MK Global Ventures, a $200 million venture capital
fund, as an associate in March 2000 and was named General Partner in January 2001. There,
he served on the boards of four companies including Cross Access Corp. a privately-held
enterprise software company and StratEdge a privately-held semiconductor packaging
company. Mr. Johannesen holds a Bachelor's degree in communications from Stanford
University.
Michael Kaufman - Consultant

Prior to founding MK Global Ventures, a $200 million venture capital fund, in 1987, Mr.
Kaufman spent six years as a general partner of Oak Investment Partners, where he was
involved in the formation of numerous technology companies and served as founding investor
and director of Businessland, Davox, Katun, Easel, Ekco, Interlan and Ziyad, among others.
Prior to becoming an Oak Partner, Mr. Kaufman was president and COO of Centronics Data
Corp., a $150 million NYSE-listed manufacturer of computer-related printing devices. He
was also a senior financial executive with Xerox Corporation for 13 years and an
engineer with Grumman Aircraft Engineering Corporation for the first five years of his
career. Mr. Kaufman holds a BS degree in mechanical engineering and an MS degree in
industrial management and finance from the Polytechnic University of New York.
Jim O'Neill

Mr.
O'Neill has worked in investment banking since 1998, joining Kaufman
Bros., L.P. in 2007 as a Senior Vice President. Prior to joining Kaufman
Bros., Mr. O’Neill was a Senior Vice President at Brinson Patrick
raising capital primarily for mortgage finance and commercial real
estate companies. Mr. O’Neill was also previously employed at Ladenburg
Thalmann & Co. Inc. and Scotia Capital, the investment banking division
of the Bank of Nova Scotia, working on advisory, mergers and
acquisitions and equity and debt capital raising mandates. Mr. O'Neill
received his M.B.A. from the Stern School of Business at New York
University and his degree in Accounting from the University of Scranton.
He earned his C.P.A. in the State of New Jersey.
